MEF CONTRACT TERMS & CONDITIONS 05/19
ACCOUNT APPROVAL
MEF Contract (“MEF” or “the Seller”), is a B2B resource offering qualified specifiers (or “the Customer”) to the hospitality and contract industry innovative furniture and décor. Orders will only be processed for approved clients.
Initial orders under $5,000 USD require full amount in advance. Orders over $5,000 USD require 50% deposit to release for production.
PURCHASE ORDERS
For Customers with active accounts, there is a minimum order requirement of $1,000 USD. Any order under this amount may be accepted with an additional service handling charge at the discretion of MEF based solely on manufacturing feasibility.
Placing an order with MEF constitutes acceptance of these terms and conditions and shall constitute the entire agreement between the Seller and the Customer. These terms and conditions will be attached to all order confirmations and invoices and shall supercede any and all other agreements, understandings and prior communication of any form written or oral. In any event of inconsistency or dispute, these terms and conditions prevail.
Products are made to order and may not be canceled once the PO has been signed and deposit paid. From this point forward, the Customer is required to take shipment and has 5 business days to make any corrections or modifications.
If there is any discrepancy on any purchase order or order confirmation, it is the Customer’s responsibility to contact their MEF representative immediately. Only at that time will MEF advise if a change can be made depending on where in the production cycle the order lies. MEF can accept no responsibility for manufacturing errors due to incorrect signed order confirmations.
+/- 2 pieces per color, per style or 5% (whichever amount is greater), is deemed acceptable as an over or under shipment. The only exception are case packs in which only full cartons per style are sold.
LEAD TIMES
Lead times vary depending on orders in queue, availability of raw materials, timely arrival of Customer’s materials (if applicable) and factory capacity. Normal lead time is 10-18 weeks in addition to shipping from our factories to MEF’s warehouse or directly to the Customer’s site. Shipping lead time is based on current market conditions.
Orders placed 75 days prior to and during the month of Chinese new year will experience longer delays to be quoted at time of order placement.
Due to unforeseen variables in the manufacturing process, MEF shall not be held liable for failure to produce any item or order for any reason including forces of nature, acts of Government (local or foreign), labor disputes, material shortage, transportation delays or mishaps etc… The time allocated to the Seller must be extended by the period of such delay. Notwithstanding anything in this paragraph to the contrary, should any order not be fulfilled within 365 days from the date of placement, subject to force majeure delays, shall entitle the Customer to terminate the unshipped portion of the order in writing and shall be entitled to the return of all monies paid for the portion of any order not fulfilled. In such event, the monies shall be the Customer’s exclusive remedy against MEF and the buyer be precluded from seeking any other form of remedy including damages arising from said cancelation.
Delivery dates for orders are not guaranteed and are estimates subject to change by the Seller. Once orders are ready, warehousing costs for completed orders that are delayed by the Customer will be levied after 15 days at market rates. MEF reserves the right to deliver in installments which may be separately invoiced and paid for when due.
PRICING, DUTIES AND TAXES
Due to regular currency, raw material and labor fluctuations, prices are only valid for 30 days from written quotation. If no quotation has been provided, prices and price lists are subject to change without prior notice. The latest published MEF price list prevails, available from your dedicated customer service representative or through contacting MEF.
Discounts and pricing tiers for eligible orders are based on an order by order basis and cumulative yearly spend with MEF.
Prices are per unit even if sold in case packs unless specifically noted on the MEF price list. All prices are in US dollars and sold FOB our warehouse in Montreal, Canada. Orders in larger quantities and in full containers or destined for markets outside of Canada or the United States may be quoted on a factory direct basis from our facility in Guangdong, China. Factory direct orders will be quoted individually on a case by case basis.
Customer agrees to pay all taxes, duties or tariffs of every description, federal, state/provincial or municipal that arise as a result of the purchase and importation of any and all orders whether through direct shipment or trans shipment as required by law.
PAYMENT TERMS
All orders require a 50% non-refundable payment in advance (PIA) by wire transfer, balance -2% by wire transfer or non discounted balance by major credit card prior to shipment. MEF is not able to accept credit cards for deposits.
MEF does not offer in house credit, but for clients in the United States and Canada that meet the requirements, net terms may be offered through a third-party factoring insurance company. Alternatively, MEF may be able to arrange financing upon approval through third-party equipment financing lenders. In either scenario, MEF has no influence or decision making capability in the approval process.
Payments are to be made on an invoice by invoice basis and may not be discounted or postponed due to delay, claims, cancellations or any other reason relating to another invoice. The Customer shall have no rights of set-off in relation to any amounts owed by MEF to the Customer.
In the event the Seller or third-party lender or insurance company must use any collection agency, attorney or courts to effect collection for credit extended beyond 30 days, the Customer agrees, in addition to any other remedies provided herein, that they shall be responsible for all reasonable fees related to the collection of past due amounts.
Should the Customer fail to pay for the balance of goods within 15-days of completion and storage not be paid monthly, following 3-months of default MEF at it’s sole discretion reserves the right to cancel Customer’s orders. Any and all amounts previously paid will be relinquished by the Customer.
SHIPPING
All MEF contract items are sold FOB our warehouse in Montreal, Canada. Freight, taxes import fees and duties depending on the Customer’s destination once shipped from MEF are additional. Pick up by the Buyer’s nominated carrier is available with a scheduled pick up appointment. Upon the Customer’s instruction, MEF may ship on behalf of a third party common or contract carrier. MEF reserves the right to select the carrier and routing based on the most cost effective rate. Due to fluctuations based on capacity by carriers, shipping rates will only be quoted once the freight is ready to move. Should timing be of concern, MEF may offer different options from different carriers, but in all cases MEF assumes no responsibility for rates, delivery times or failure of any sort by said third party carrier. For all shipments MEF will insure shipments and any claims for non performance or damage will be subject to the insurer’s approval. MEF assumes no responsibility for additional charges to re-deliver, for demurrage or warehousing if the Customer or Customer’s recipient on site fails to be able to receive the delivery when the transport company arrives.
If the delivery location does not have commercial unloading facilities with a loading dock able to accept a 53’ trailer with sleeper cab, it is the Customer’s responsibility to advise their MEF representative prior to quoting freight. Recipient must be able to unload any deliveries without the assistance of the driver. Should the loading facilities be blocked by another delivery for more than 30 minutes, carrier reserves the right to charge waiting fees that range from $100-$150 per hour. These fees are not assessed by MEF and are standard within the transportation industry. Additional fees will apply for non dock deliveries or residential deliveries requiring either a tailgate, inside delivery or white glove delivery. Any additional services such as call before delivery, scheduled delivery appointments or other may also carry additional fees depending on the carrier.
MEF has a strict pre-shipment inspection protocol. All cartons already inspected at our China warehouse prior are again opened and inspected before shipment from our Canada warehouse. Photos of each shipment prior to being picked up by any carrier either on the Customer’s or MEF’s account are kept on file in case of a claim for damage in transit once out of MEF’s possession. Shipment and it’s contents must be inspected prior to accepting delivery by the Customer or Customer’s representative. Recipient of freight must not sign the bill of lading prior to inspection for all items including glass, marble or other items marked “fragile”. Any damage must be reported within 24 hours of delivery with a copy of the bill of lading stating damage and signed by the driver with detailed pictures or a claim may not be honored. Any concealed damages must be reported within 5 business days to MEF for review and consideration at it’s sole discretion. In all cases of damage or claim it is imperative that all packaging, pallets and cartons not be discarded until the claim has been settled. Carrier may require an inspection on site by their own representative and pick up salvage as part of their claim process. Disposing of any of these materials may void the claim.

For all factory direct orders by full container directly to the Customer’s site, upon receiving possession of the goods, Customer shall have 5 business days to inspect and determine if there is any defect or shortage. It is the Customer’s sole responsibility to communicate in writing and with photographs to the Seller or the Customer forfeits any future claim on said shipment.
RETURNS, CANCELLATIONS & CHANGES
Unless part of MEF’s marketed collection in print or online bought from existing stock in MEF’s Canada warehouse, all orders produced are considered custom made, are considered final sale upon signing of purchase order and are not eligible for returns under any circumstance. For items that qualify for return, they may not be returned to MEF without a return authorization number (RA). In it’s sole discretion MEF will issue an RA which does not guarantee that the goods will be accepted as a return. Issuance strictly signifies a right to have goods inspected. RA will be assigned to specific authorized products and does not signify an open ended approval for return of any product. RA must be issued by MEF directly with an official form initialled by an authorized officer and not verbally, in the body of an e-mail or by any independent salesperson or other, and must be marked on the outside of the shipment. Accepted returns will be either replaced with the same or similar item in case of defect (see warranty section) or if not available, credited to the customer’s account in MEF’s sole and absolute discretion.
In the event that MEF agrees to a cancelation of an order in production, the Customer will be advised of the cost to cancel at that stage of production. Customer will be responsible for all fees and charges incurred to date including but not limited to costs of raw materials, non-returnable items, cancelation costs imposed on MEF and all subcontractors as a result of the cancelation by the Customer.
Canceled, refused, or remorse orders are subject to a 25% restocking fee. This balance will be invoiced to the Customer’s account and must be paid before any further orders are shipped. Freight charges for unclaimed orders will be charged to the Customer and must be paid in addition to the new freight amount if the order is re-shipped (see shipping section). Alternatively, if the order is not re-shipped, the charge will be posted to the Customer’s account for payment before any further orders are shipped out.
Once an order is in the production cycle and the Customer wishes to make a change or correction, MEF may advise the Customer of any additional costs to make said change which must be approved in writing by the Customer in order to effect changes.
DESIGN
In an effort to offer the best quality construction of our products, modifications in manufacturing may occur from time to time. Every effort will be made to keep dimensions and photos on www.mefcontract.com and printed or digital catalogs updated but should be considered approximate. If required for cad plans or otherwise, it is the Customer’s responsibility to request the most up to date specifications at time of order placement. Heights of upholstery and thicknesses of cushions may have a minor variance due to compression of foam that is within norms. MEF reserve’s the right to adjust the position or quantity of seams during the production process due to the nature or width of fabric. Fabrics and colors are subject to change without prior notice.
All aspects of manufacturing are an incredibly manual process. Slight differences in fibers, temperature, dyeing time, and other factors can result in different shades of the same color between different dye lots. If a Customer’s order is to match a previous shipment from MEF, variances within reason are to be accepted and signed off upon prior to production. In addition, depending on the conditions of where the previous order’s products are used they may have been subject to wear, fading and discoloration which would not be possible to duplicate. In order to make every effort to match exact specifications, the Customer must provide a shipping prepaid sample to MEF China’s office to assure exactitude in construction. Only at that time can the order be evaluated before confirmation.
INTELLECTUAL PROPERTY
Many MEF designs and products are proprietary property of MEF and subject to all protections afforded same by state/provincial and federal and international law. Any attempt or actual use of any design, including the creation of any derivative design, shall entitle to MEF to seek injunctive relief against the buyer, or any entity or person acting on, by or at the direction of the buyer in addition to damages as provided by state/provincial and federal law, in addition to all remedies for breach of contract as provided herein. All remedies are exclusive of each other and the seeking of a remedy shall not be to the exclusion to pursue such other remedies afforded MEF hereunder.
For all items produced by the Seller to the Customer’s specification or otherwise, MEF specifically disclaims any obligation to indemnify or defend Customer, or any of their associates, not limited to specifiers, architects, designers, or other for any claims alleging infringement of trademarks, copyrights, patents, designs or any other issues collectively described as intellectual property. On any designs or modifications, the Customer mandates MEF to develop or manufacture, Customer confirms that it has clear title to the product’s intellectual property and is the originator of specifications of said product. Customer will indemnify and hold harmless MEF for any claims, liabilities and expenses in connection with such infringement including any and all legal representation to uphold and defend the same.
DISCLAIMER OF LIABILITY
In no event shall MEF be liable for any direct, special, indirect, incidental or consequential damages or loss of profits, arising out of or in connection with the use or inability to use MEF products. This applies to any use of product however arising, including without limitation, any lost business profits, business interruption, personal injury or any other pecuniary loss, whether in an action on contract, negligence or otherwise, even if MEF has been informed of the possibility thereof.
Your safety is your own responsibility, including proper use of equipment, safety gear, and determining whether you have adequate skill and experience.
MEF disclaims liability for direct, indirect or incidental damages in case of tampering with any product. When working with electrical fixtures, all power must be shut off or be unplugged. Use bulbs that are the proper wattage for the lamp or light fixture. A bulb whose wattage is too high may overheat.
FLAMMABILITY
Many polyester fabrics including those offered by MEF are inherently fire retardant (IFR). If the Customer’s application or use requires flammability certification, fabrics sourced through or offered by MEF or COM (Customer’s own material) may be sent to a third-party fabric technology processor at an additional cost to be charged to the Customer. Depending on the fabric content and construction, impregnations, laminations and coatings may be available to meet requirements. Customer must submit a ½ yard or ½ meter for assessment along with a $250 non-refundable fee. Not all COM fabric may be processed, Customer will be notified after review by the third-party specialist. Customer holds MEF harmless and indemnifies MEF against fire retardancy of COM, and will be used at Customer’s own risk. If specific fire-retardant testing is required, the cost of testing and sample development will be at the Customer’s cost and may take up to 30 days once samples are submitted. This additional time must be added to the production lead time and MEF cannot be held liable for time and costs during this process. If the project or prevailing codes in the jurisdiction of use require a higher degree of flammability protection, flame barriers are available for installation under upholstery fabric. Pricing and technical specifications may be quoted on a case by case basis. Customers, are responsible for evaluating available specifications and selecting fabrics which suit the end use and meet applicable fire or building codes.
Standard pricing comprises polyurethane foam in various densities and thicknesses without lab certification against flammability or any guarantee of such. Custom orders may be quoted and produced to guidelines required for California Bulletin 117, California and Boston Bulletin 133, British Standard BS-5852 and Crib 5 at additional cost. Regardless of certification, all components are still flammable in a fire scenario. Stacked furniture for storage and furniture in cardboard boxes or wooden crates can accelerate combustion in a fire. Electric space heaters, overheated light fixtures, smoking materials, damaged electric sources or other may ignite even flame-retardant materials. Fabrics and foam can burn and release toxic fumes and smoke while consuming oxygen causing dangerous conditions. If the Customer’s project requires TB-133 standards or other, it is the Customer’s responsibility to request this on their purchase order with the correct price associated with the same.
MISCELLANEOUS PROVISIONS
Any dispute or action arising under this agreement shall lie in Montreal, Qc, Canada and shall be enforced in
accordance with the laws of the province of Quebec; should it become necessary for MEF to enforce any provision of this agreement, then, in that event, MEF shall be entitled to the recovery of all of its reasonable attorneys’ fees and costs (including appeal and hearing to determine said fees/costs). In the event any provision of this agreement is found by a court of competent jurisdiction to be illegal or unenforceable, the remainder of this agreement shall remain in full force and effect as if said illegal or unenforceable provision were not included herein; this agreement shall be binding upon and shall insure to the benefit of MEF and the customer, their respective successors, assigns or legal representatives; the headings of paragraphs are for convenience of reference only and shall not, in any way, affect the interpretation or constitution of this agreement;
time is of the essence as to all provisions of this agreement
; waiver of jury trial–the parties hereby knowingly, voluntarily and intentionally waive the right any of them may have to a trial by jury in respect to any litigation based hereon, or arising out of, under or in connection with this agreement or any document contemplated to be executed in conjunction with this agreement.
AUTHORITY TO BIND
Customer understands and agrees that no employee, sales agent or representative of MEF has authority to bind the Seller to any affirmation, agreement, representation or warranty in relation to orders or products purchased from MEF unless specifically approved in writing by an authorized officer.
Customer
attests that they are an authorized
signatory to place orders with MEF Contract and represents and warrants that he or she has the power and authority to accept and bind the Customer and company listed, as the case may be, to all terms and conditions stated.
WARRANTIES
Seller warrants that the goods shall be free of substantive defects in material and workmanship and fit for use in the contract and hospitality industries for 8-hours per day for the period of 1-year. No warranty is made on fabric or surface material namely colorfastness, wear or aging of finishes, plating, foam or filling materials. Laminates, glides, casters, hardware, electrical components and any moving or mechanical parts are warrantied only to the extent offered by their manufacturer which may carry limited warranties or replacement of components without labor. MEF does not warrant that any of the above- mentioned materials will conform to their manufacturer’s representations or warranties.
Warranty begins on the date of the invoice to the original Customer, and is subject to the conditions and limitations outlined. Failure to comply will void the warranty and any subsequent warranty claim. Warranty is non-transferable and applies only to the original installation and location. Any warranty claim must be submitted in writing by the original Customer. Damage due to transportation, moving, abuse, misuse, negligence, lack of maintenance, normal wear and tear or accidents is not covered. MEF shall in no way be liable for any incidental, special or consequential damages of any nature, even if the Seller has been advised of the possibility of such damages.
Regular maintenance is required to ensure long term durability. Inspection and documentation of the structure, joinery, moving parts and in particular glides, feet, swivel mechanisms and casters must be performed every 90 days. As part of the inspection, all bolts and fasteners must be tightened and all mechanisms should be lubricated.
Should Customer or owner be negligent, reckless or willfully harmful with respect to said products, MEF shall be held harmless and indemnified against any claims or liabilities, (expenses and attorneys’ fees inclusive).
The warranty described herein is limited to the repair or replacement of a defective product at the sole and unfettered discretion of MEF (such repair or replacement to be made as expeditiously as is commercially reasonable for MEF), and Customer’s sole and exclusive remedy hereunder shall be, repair or replacement of a defective product at the sole and unfettered discretion of MEF, as described hereinabove. MEF shall not be liable for any costs or charges (including but not limited to shipping, handling, installation or others) which may arise in connection with a warranty claim.
The warranty herein shall automatically be deemed null and void should the customer contract a third-party to replace, modify or perform any work, on any product covered in this document during the warranty period, without first obtaining the express written approval of MEF. Product warranty is non-renewable despite repair and/or replacement. MEF will attempt, on a best effort basis and without guarantee, to match color and finish of the product.
In any event, MEF’s maximum liability under any circumstance shall be limited to an amount equal but not greater than the purchase price of the product, invoiced to customer, excluding any other charges (including, but not limited to, lost revenue or profit due to lack of use, freight, handling, packaging, detention (or demurrage) fees or storage charges).
If a product has been discontinued but is still covered under warranty, MEF will repair or replace should materials permitting such repair or replacement be available. Should materials no longer be available, MEF shall, at its discretion, either replace product with a similar item of same value or shall credit Customer for the original amount for the product which cannot be repaired or replaced.
Repair or replacement covered under the warranty described herein shall be at no charge to Customer, if defective products are returned to MEF with freight and shipping prepaid, and packaged accordingly to avoid any damage in transit. Risk of loss of any items in transit from Customer to MEF shall pass upon reception of product by MEF. Risk of loss of any items in transit from MEF to the Customer shall pass as of the moment the product is shipped by MEF to customer. MEF assumes no responsibility or liability for the removal of products requiring service and/or repair. Warranty claims must be filed in writing within thirty (30) days of discovery of the alleged defect. The decision of MEF on all warranty claims shall be final.
any warranties as set forth herein are the sole and exclusive warranties provided to Client with respect to the products purchased by Customer and covered by this document, and are in lieu of andy and all other warranties expressed or implied on the part of MEF, or any of MEF’s agents, employees, representatives including, but not limited to, any warranty as to quality, title, merchantability, non-infringement or fitness for a particular purpose. MEF SHALL NOT BE HELD RESPONSIBLE FOR DAMAGES TO PROPERTY, CONSEQUENTIAL LOSS, LOSS OF PROFIT, LOSS ON GOODS IN STORE OR THE LIKE, IRRESPECTIVE OF THE CAUSE, INCLUDING CAUSES WHICH ARISE OUT OF OR CONNECTED WITH THESE TERMS AND CONDITIONS OR FROM THE PERFORMANCE OR BREACH OF THE TERMS HEREOF, OR FROM THE NEGLIGENCE OR FAULT OF MEF. IN ALL CASES THE TOTAL LIABILITY OF MEF SHALL NEVER EXCEED THE PRICE OF THE PRODUCT PAID BY CLIENT. MEF EXPRESSLY DISCLAIMS ANY OBLIGATION OR LIABILITY FOR ANY OR ALL DIRECT, INDIRECT, ECONOMIC, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR OTHER DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS OR VALUE, COSTS OF PROCUREMENT OF SUBSTITUTES) ARISING IN CONNECTION WITH THE MANUFACTURING, SALE OR DELIVERY ANY PRODUCTS COVERED BY THIS DOCUMENT AND AND/OR CUSTOMER’S INABILITY TO USE MEF’S PRODUCT FOR ANY PURPOSE AND/OR ANY BREACH OF THIS DOCUMENT.
Any affirmation of fact or promises made by MEF, including, without limitation, statements regarding suitability for use or performance of the products covered by this document, shall not be deemed to create an express or implied warranty that the product shall conform to such affirmation or promise.
Except to the extent specifically set forth in this document, and notwithstanding their nature, all claims covered herein shall be deemed waived and released by Customer unless made in writing to MEF within one (1) year from the date of the invoice to the Customer.
The warranty herein cannot be waived or modified by anyone, in any way, save and except by an authorized officer of MEF, who can approve any such waiver or modification.
As a leading event furniture supplier to the rental industry, MEF provides products based on Customer specifications and therefore relies upon the Customer (including their agents, dealers, installers and designer) to validate and test the suitability of the products for Customer’s needs and applications.
All products sold to the Customer by the Seller shall be free of any liens, security interest or other encumbrances of any kind.
PRODUCT LIFESPAN
Commercial furniture subject to use and abuse must be inspected with regular frequency several times per year. Following 3-years of regular use, examination should be more in depth and with increased frequency with a plan for replacement to prevent risk of injury. MEF furniture is constructed to be sturdy and offer excellent value, there is product still in use on several projects for more than 15-years at the risk of the Customer.
Foam will compress with use and fabrics will wear at different rates depending on grade, rub test certification and regular cleaning (depending on chemicals used to clean). Structural fatigue is possible, any items with cracked or bent frames should be removed from use. Metal frames should not be rebent as metal can weaken and be subject to failure in the future. Metal frame members that are bent in varying degress due to stress should be replaced. Inspections should focus on, but not are limited to, structural joints, corner blocks, screws, fasteners, welds and any areas of stress. Missing leg and foot glides or loose casters will cause accelerated weakness to the frame due to imbalance and must be replaced immediately.
MAINTENANCE & CARE
Please refer to the individual product maintenance guidelines suggested on MEF’s website. Always test repair any maintenance suggestions on an inconspicuous area as many factors may affect the results.
Upholstery materials should not be exposed to chlorine or bleach (or transfer from products recently in close contact with these chemicals) as immediate fading may occur. Untreated raw denim and inks from ballpoint pens will permeate most fabrics and cannot be cleaned. Flame retardant treatments are developed using salt solutions and may react with certain cleaning solutions. Use of water or water-based products may result in salt ringing, it is recommended to test solvent or dry-cleaning solutions. Even if cleaners have previously been successful on similar fabrics re-testing after flammability processing is necessary. Outdoor materials are designed to withstand UV rays for the duration of the warranty, please refer to fabric guidelines in the product and fabric descriptions to understand more about deterioration from UV exposure. MEF assumes no responsibility for suitability or durability of COM. Certain but not all fabrics offered through MEF may be warrantied through the original manufacturer and are subject to any coverage offered through the manufacturer and not MEF.
MEF metal tables, chairs, stools and lighting fixtures are produced using high-grade stainless-steel hand welded and polished to a mirror finish. This grade of steel is corrosion resistant and can be re-polished time and time again. In order to turn these products into a gold or rose gold finish, the entire frame or components must be electroplated. This involves a process where a thin coating is placed on the stainless steel. As this is a coating, acids can corrode many different kinds of metals or wear them away through chemical processes. Vinegar (which contains ethanoic acid) and citric acid (found in citrus fruits like limes and lemons) are common acids that we eat and don’t cause harm to us but will eat away at these coated finishes. Glides on seating and furniture are small but extremely important in prolonging the life of the product and the floor it sits on. Depending on the product, glides are made of various plastics or metals often with felt pads. Maintenance and replacement of these products is crucial in keeping furniture stable. Replacements are available through MEF.
Most furniture is shipped in cartons meant for temporary use during transport. In high humidity areas, cartons will start to break down and no longer protect the product inside. When not stored in climate-controlled facilities a chemical reaction between the cardboard and flame-retardant materials may cause mildew. It is the Customer’s sole responsibility to ensure that items are adequately stored. As a precaution, most MEF products are shipped with silica gel packets to aid in the absorption of moisture and humidity. These packets should be immediately discarded once the product is unwrapped as they pose a choking hazard if ingested, or irritation when exposed to eyes and skin.
